1. Introduction

Critical Energy, Inc. ("the Company," "we," "us," or "our") operates criticalenergyhq.com and the associated Partner Portal (collectively, the "Service"). The Company develops and operates AI-optimized modular geothermal extraction and grid dispatch infrastructure for industrial manufacturing sites, data centers, and utility partners operating primarily in the Basin and Range region of Utah and adjacent states.

This Privacy Policy explains what information the Company collects through the Service, how the Company uses it, and the choices available to you. It applies to information collected through the website, the Partner Portal, and direct communications with us.

2. Information We Collect

2.1 Information You Provide

We collect information you submit directly, including:

  • Partner inquiry submissions (name, organization, role, email, site location, and message) submitted through the contact form when requesting a preliminary heat-flow assessment discussion or exploring a geothermal site partnership;
  • Partner Portal registration and authentication credentials when you access the operational dashboard for dispatch monitoring and geothermal unit telemetry;
  • Site assessment input data including industrial facility location, estimated power demand profile, and existing energy infrastructure details shared during preliminary project evaluation;
  • The content of any messages, technical attachments, or project documents you send us directly.

2.2 Information Collected Automatically

When you visit criticalenergyhq.com, we automatically collect limited technical information:

  • IP address and approximate location (city/region level);
  • Browser type, operating system, device class;
  • Pages visited, referring URLs, time on page;
  • Cookie and similar identifiers (see Section 5).

2.3 Operational Telemetry Data (Partner Portal)

Authorized partners who access the Partner Portal for dispatch monitoring may generate or transmit the following operational data in connection with the Company's geothermal infrastructure at their site:

  • Wellhead formation temperature readings and thermal output measurements from the geothermal extraction unit sensor array;
  • Dispatch status updates, grid routing event logs, and energy delivery confirmation records;
  • Real-time grid price signal acknowledgements and dispatch command records associated with the partner site's power offtake;
  • Session activity logs for Partner Portal access for security and dispatch audit purposes.

This operational telemetry reflects the physical performance of the Company's infrastructure deployed at partner sites. It is used solely to operate, monitor, and improve the dispatch platform and to fulfill contractual obligations under the applicable Power Purchase Agreement or site partnership agreement. The Company does not use operational telemetry to train AI models or to sell data to third parties.

2.4 We Do Not Knowingly Collect Children's Data

criticalenergyhq.com is a business-to-business platform for industrial energy procurement and geothermal operations. It is not directed to children under 13. We do not knowingly collect personal information from children. If you believe a child has provided us information, contact [email protected] and we will delete it.

3. How We Use Information

We use the information we collect to:

  • Respond to partner inquiries and provide requested information, including coordinating preliminary site heat-flow assessment discussions;
  • Operate, maintain, and improve the Service, including the Partner Portal and real-time dispatch monitoring functions;
  • Fulfill contractual obligations to site partners under Power Purchase Agreements and related project agreements, including transmitting dispatch commands, thermal output data, and grid routing records;
  • Send operational status updates, scheduled maintenance notifications, and - with your consent where required - informational communications about the platform;
  • Comply with applicable legal and regulatory obligations, including those arising from the Company's participation in wholesale electricity markets and applicable Utah Public Service Commission requirements;
  • Detect, investigate, and prevent unauthorized access to the Partner Portal and dispatch systems.

We do not sell personal information for monetary value. Where applicable state law treats certain advertising arrangements as a "sale" or "share," see your state's section below.

4. Sharing of Information

We share personal information only with:

  • Service providers acting on our behalf (for example, cloud hosting, email delivery, and infrastructure monitoring services) under contractual confidentiality and data-handling obligations;
  • Industrial site partners and utility counterparties to the extent required to fulfill dispatch and power delivery obligations under applicable project agreements, and only the information necessary for that purpose;
  • Energy market operators or grid interconnection authorities when the Company's participation in wholesale electricity markets or demand-response programs requires submission of relevant operational data;
  • Authorities, when required by applicable law, court order, or regulatory mandate, or to protect rights, safety, or property;
  • A successor entity in the event of a merger, acquisition, or asset sale, subject to this Policy.

We do not sell personal information to third parties.

5. Cookies and Tracking

We use cookies and similar technologies to operate the site, maintain secure Partner Portal sessions, remember preferences, and measure usage. For details and choices, see our Cookie Policy.

6. Data Retention

We retain personal information only as long as needed for the purposes described, to comply with legal or accounting obligations, and to resolve disputes. Specifically:

  • Partner inquiry contact data: retained for 36 months from submission, or for the duration of the project relationship, whichever is longer;
  • Partner Portal session logs and dispatch telemetry: retained for 12 months for dispatch audit and energy market compliance purposes, then aggregated into non-personal records;
  • Site assessment reports and geothermal resource data shared during project evaluation: retained for the duration of the project relationship and for seven years after project conclusion to support regulatory and audit obligations;
  • Inactive marketing-list contacts: purged after 24 months. Server access logs are retained 90 days, then aggregated.

7. Security

We use administrative, technical, and physical safeguards designed to protect personal information and operational data, including TLS encryption in transit for the Partner Portal, restricted-access databases for telemetry records, and least-privilege access controls for dispatch system credentials. No system is perfectly secure; we cannot guarantee absolute security.

8. Your General Rights

Depending on your jurisdiction, you may have rights including access, correction, deletion, and the ability to limit certain processing. To make a request, email [email protected]. We will respond within the timeframe required by applicable law.

9. Utah Residents

Utah does not currently have a comprehensive consumer privacy statute. As a matter of policy, the Company extends the following baseline rights to all U.S. residents regardless of state of residence.

9.1 Baseline Rights

  • Right to Know: request the categories of personal information we have collected about you.
  • Right to Delete: request deletion of personal information you have provided.
  • Right to Correct: request correction of inaccurate personal information.
  • Right to Opt Out of Marketing: unsubscribe from marketing emails or opt out via the link in each marketing message.

9.2 How to Exercise

Email [email protected] with a description of your request and enough detail for us to verify your identity. We respond within 45 days.

9.3 Sector-Specific Rights

If you are protected by federal sector laws (e.g., HIPAA, GLBA, FERPA), those laws may give you additional rights with respect to data covered by them.

9.4 California Visitors

If you are a California resident visiting from another state, you may also exercise the rights granted under the California Consumer Privacy Act ("CCPA") and California Privacy Rights Act ("CPRA"), including the right to know, the right to delete, the right to correct, and the right to opt out of sale or sharing. We do not sell personal information and do not "share" personal information for cross-context behavioral advertising.
